Terms and Conditions

These Terms and Conditions ("Terms") govern your access to and use of TenderNexa ("TenderNexa", "we", "us", or "our"), including our website, applications, subscription services, tender information, AI-assisted tools, document tools, alerts, and related services (collectively, the "Service").

By creating an account, clicking “I Agree,” purchasing a subscription, or otherwise using the Service, you agree to these Terms and the TenderNexa Privacy Policy. If you do not agree, do not use the Service.

1. Acceptance of Terms

These Terms form a legally binding agreement between you and TenderNexa. If you use TenderNexa on behalf of a company or other organization, you confirm that you have authority to accept these Terms on its behalf.

You must comply with applicable laws and regulations when using TenderNexa, including applicable procurement, data protection, intellectual property, consumer protection, and payment laws.

2. What TenderNexa Is

TenderNexa is a private procurement information and workflow platform designed to help businesses discover, understand, qualify for, prepare for, and track procurement opportunities.

TenderNexa may aggregate or link to opportunities from government, county, NGO/nonprofit, donor, corporate, and other publicly available or authorized sources.

TenderNexa is not a procuring entity, government authority, procurement regulator, tender issuer, legal adviser, financial adviser, accountant, or procurement consultant. TenderNexa does not make procurement decisions and does not guarantee that a user will qualify for, submit, or win any tender.

3. Tender Information and Verification

TenderNexa aims to provide useful and timely procurement information. Where an opportunity is marked “Verified,” the verification status means that TenderNexa checked the identified source at the stated verification time.

A verification label does not guarantee that information remains unchanged after verification. Tender notices may be amended, cancelled, extended, withdrawn, replaced, or closed by the issuing organization.

You must check the current official source and the complete original tender documents before relying on any tender information or submitting a bid.

TenderNexa is not responsible for changes made by a tender issuer after TenderNexa’s last verification or for information that was unavailable from the source when checked.

4. Accounts

You must provide accurate, current, and complete information when creating an account and keep your login credentials secure.

You are responsible for activity carried out through your account. You must not share your account in a way that violates your subscription or security controls.

You must promptly notify TenderNexa if you believe your account has been compromised.

TenderNexa may suspend or restrict an account where reasonably necessary to protect users, the Service, or comply with law.

5. Company Profiles and Matching

You may create a business profile containing company details, products or services, locations, capabilities, experience, certifications, eligibility information, and procurement preferences.

You are responsible for ensuring that information you provide is accurate, lawful, and not misleading.

TenderNexa may use company-profile information to provide matching, recommendations, analytics, alerts, and other Service features.

Any match score, qualification indication, readiness score, or recommendation is an informational tool. It is not a legal determination of eligibility and does not guarantee that a procuring organization will accept your bid.

6. Uploaded Documents and User Content

You retain ownership of documents and other content you upload to TenderNexa (“User Content”).

You grant TenderNexa a limited, non-exclusive licence to store, process, analyze, display, and use User Content only as reasonably necessary to provide, secure, maintain, and improve the Service, subject to the Privacy Policy.

You are responsible for having the right to upload and use User Content.

You must not upload material that is unlawful, fraudulent, malicious, infringing, or that you do not have permission to use.

TenderNexa will apply reasonable technical and organizational measures to protect User Content. However, no online service can guarantee absolute security.

You should not upload information that you are prohibited from sharing or that requires security controls beyond those offered by the Service.

7. Artificial Intelligence Features

TenderNexa may use artificial intelligence to summarize tender documents, identify requirements, compare tender requirements with company information, generate checklists, provide explanations, assist with bid preparation, and provide other automated outputs.

AI outputs may contain errors, omissions, outdated information, or incorrect interpretations. AI-generated content is not legal, financial, accounting, procurement, or other professional advice.

Before making a bidding, financial, legal, compliance, or business decision, you must review the original tender documents and relevant official sources and obtain professional advice where appropriate.

TenderNexa does not guarantee that an AI output is complete, accurate, suitable for your business, or sufficient for a tender submission.

You must not use AI-generated content to fabricate experience, qualifications, certifications, financial information, references, employees, contracts, products, or other information.

8. Bid Preparation and User Responsibility

TenderNexa may help you organize and prepare bids, but you remain responsible for the final content and submission.

You are responsible for meeting all applicable tender requirements, registration requirements, deadlines, submission instructions, and applicable laws and regulations.

TenderNexa does not submit bids on your behalf unless a separate written service expressly provides for that activity.

TenderNexa does not guarantee bid acceptance, evaluation results, contract award, payment, or procurement outcomes.

9. Prohibited Activities

You must not use TenderNexa to commit fraud, corruption, collusion, bid-rigging, or other unlawful procurement activity.

You must not submit or create false or misleading information or impersonate another person, company, government entity, or TenderNexa representative.

You must not upload malware or attempt to compromise the Service, access accounts or systems without authorization, or bypass authentication or security controls.

You must not scrape, copy, reproduce, resell, or systematically extract TenderNexa data without written permission.

You must not interfere with the operation or security of the Service or infringe another person’s intellectual property, privacy, or other rights.

You must not use the Service to facilitate activity that violates applicable law.

10. Subscription Plans and Pricing

TenderNexa may offer free and paid subscription plans. The current planned subscription structure is:

  • Free — KES 0
  • Starter — KSh 1,499 per month
  • Pro — KES 4,999 per month
  • Enterprise — pricing is provided by quote and set in a written Enterprise agreement.

Features, usage limits, user numbers, storage, and other benefits may differ by plan. Enterprise pricing and terms may be customized.

TenderNexa will display the applicable price and material plan terms before a paid subscription is purchased.

11. Payments and Billing

Paid subscriptions are billed according to the billing cycle shown at checkout or in the applicable agreement.

TenderNexa may accept payment methods including M-Pesa, debit cards, credit cards, and other payment methods made available through its payment providers.

Payments may be processed by third-party payment providers. Your use of a payment provider may also be subject to that provider’s terms and privacy policy.

You authorize TenderNexa or its payment provider to charge the applicable subscription fee and any applicable taxes or other charges disclosed at checkout.

If a payment fails, TenderNexa may restrict paid features until payment is successfully completed.

12. Cancellation and Refunds

You may cancel a monthly subscription through available account controls or by contacting TenderNexa support.

Unless otherwise stated at checkout or in an enterprise agreement, cancellation stops future renewal but does not automatically create a refund for a period already paid.

Refunds may be provided where required by applicable law or where TenderNexa expressly agrees to provide one. Any refund terms displayed at checkout or included in an enterprise agreement will apply.

Enterprise subscriptions may have separate cancellation, notice, and refund terms contained in the relevant written agreement.

13. Service Availability and Support

TenderNexa will use reasonable efforts to keep the Service available, but does not guarantee uninterrupted or error-free operation.

The Service may be temporarily unavailable because of maintenance, updates, security measures, infrastructure problems, third-party service failures, internet disruptions, or circumstances beyond our reasonable control.

Unless a separate written Service Level Agreement applies, TenderNexa does not provide a guaranteed uptime percentage or response time.

14. Intellectual Property

TenderNexa and its licensors own the Service, including its software, interface, designs, branding, databases, original content, and proprietary features, except for User Content and third-party materials.

Subject to these Terms and your subscription, TenderNexa grants you a limited, non-exclusive, non-transferable right to use the Service for your internal business purposes.

You must not copy, reproduce, reverse engineer, commercially exploit, resell, or create a competing service from TenderNexa’s proprietary software or materials without written permission.

15. Privacy and Data Protection

TenderNexa may collect and process personal and business information in accordance with its Privacy Policy and applicable data protection laws.

Information may include account details, contact information, company information, uploaded documents, payment information, usage information, and information required to provide the Service.

You should review the TenderNexa Privacy Policy for details about collection, use, storage, sharing, retention, security, and your data rights.

16. Data Retention and Account Closure

If you close your account, TenderNexa may retain certain information where reasonably necessary to comply with law, resolve disputes, prevent fraud, maintain business records, or meet legitimate operational requirements.

Subject to legal and contractual requirements, User Content may be deleted after account closure according to TenderNexa’s applicable retention policy.

Where a specific enterprise agreement contains different data retention requirements, that agreement will govern to the extent permitted by law.

17. Disclaimers

To the maximum extent permitted by applicable law, the Service is provided on an “as is” and “as available” basis.

TenderNexa does not guarantee that every tender or procurement opportunity will be identified; tender information will always be complete, accurate, current, or error-free; a verified opportunity will remain open or unchanged; an AI-generated analysis will identify every requirement; a user will qualify for or win a tender; a bid will be accepted or awarded; or the Service will always be available or uninterrupted.

18. Limitation of Liability

To the maximum extent permitted by applicable law, TenderNexa will not be liable for indirect, incidental, special, consequential, or punitive losses, or for loss of profits, revenue, contracts, business opportunities, goodwill, or data arising from use of the Service.

TenderNexa will not be responsible for a user’s procurement decision, bid preparation decision, failure to submit, tender rejection, tender cancellation, or action or omission by a procuring organization.

To the maximum extent permitted by applicable law, TenderNexa’s aggregate liability arising from a paid subscription will not exceed the amount you paid to TenderNexa for that subscription during the twelve months immediately preceding the event giving rise to the claim.

Nothing in these Terms excludes or limits liability that cannot lawfully be excluded or limited under applicable law.

19. Indemnification

To the extent permitted by law, you agree to indemnify and hold harmless TenderNexa and its officers, employees, contractors, and agents from claims, losses, liabilities, costs, and reasonable legal expenses arising from your unlawful use of the Service, violation of these Terms, infringement of another person’s rights, or User Content that you upload or submit.

20. Suspension and Termination

TenderNexa may suspend or terminate access where reasonably necessary because of a material breach of these Terms, fraud, unlawful activity, security threats, non-payment, or misuse of the Service.

Where reasonably practicable, TenderNexa will provide notice and an opportunity to resolve the issue.

Termination does not remove obligations that arose before termination, including unpaid fees and obligations that by their nature should continue after termination.

21. Changes to the Service and Terms

TenderNexa may add, modify, suspend, or discontinue features of the Service.

TenderNexa may update these Terms from time to time. The latest version will be posted on TenderNexa with an updated effective date.

Where a change is material, TenderNexa may provide reasonable notice through email, the Service, or another appropriate method.

Your continued use of the Service after the effective date of updated Terms constitutes acceptance of the updated Terms, to the extent permitted by law.

22. Governing Law and Dispute Resolution

These Terms are intended to be governed by the laws of Kenya, subject to any mandatory rights or protections that apply to you.

If a dispute arises, the parties should first attempt to resolve it in good faith through direct communication.

If the dispute cannot be resolved through negotiation, it may be referred to the appropriate Kenyan court or other lawful dispute-resolution mechanism, subject to applicable law and any separate written agreement between TenderNexa and the user.

23. Notices

TenderNexa may provide notices through the email address associated with your account, in-app notifications, or other contact information you provide.

24. Severability

If any provision of these Terms is found to be invalid or unenforceable, that provision will be modified or removed only to the extent necessary, and the remaining provisions will continue in effect.

25. No Waiver

If TenderNexa does not immediately enforce a provision of these Terms, that does not mean TenderNexa has waived its right to enforce that provision later.

26. Assignment

You may not transfer your rights or obligations under these Terms without TenderNexa’s written consent, except where permitted by law.

TenderNexa may transfer or assign its rights and obligations in connection with a merger, acquisition, restructuring, financing, or sale of the business or relevant assets, subject to applicable law.

27. Entire Agreement

These Terms, together with the TenderNexa Privacy Policy and any applicable subscription or enterprise agreement, form the agreement between TenderNexa and the user regarding the Service and replace prior understandings relating to the same subject matter, except where a separate written agreement expressly applies.

28. Acknowledgment

By using TenderNexa or selecting “I Agree,” you acknowledge that TenderNexa is a private procurement information and workflow platform and not a government procurement authority; tender information should be checked against the relevant official source; AI-generated information may contain errors; you are responsible for your own bidding decisions and submissions; you will use TenderNexa lawfully and honestly; and you have read and agreed to these Terms and the TenderNexa Privacy Policy.
